• Baltimore Heritage Quilters' Guild By-laws

  • Article I - Name
  • The Name of this organization shall be the Baltimore Heritage Quilters' Guild, a non-profit organization.
  • Article II - Purpose
  • The purpose of this organization is to preserve and promote the art and craft of quilts and quiltmaking, to provide fellowship among interested persons in all aspects of quilting, and to enjoy and appreciate each other's work rather than judging.
  • Article Ill- Membership and Dues
  • A. Membership in this organization is open to any individual interested in quilts
    B. The annual dues shall be determined by the Board, due and payable at the September meeting each year. Names of members not having paid dues by November 1 each year shall be removed from the membership listing.
    C. Nonmembers may attend 2 meetings gratis, but after that must pay $5.00 per meeting or become a member. Dues shall be prorated after February.
  • Article IV - Meetings
  • A. The Guild will meet the second Tuesday of every month beginning in September and ending in June.
    B. In addition, the Executive Board will meet one month prior to the monthly member's meeting.
  • Article V - Officers
  • A. The elected officers of this organization shall be the President, Vice President, Secretary and Treasurer. They shall constitute the Executive board along with the Newsletter Editor, Program Chairman, Membership Chairman, Special Events Chair, Education Chairman, Librarian, Historian and Past President.
    B. Officers shall be elected at the May meeting and installed at the June meeting for a term of one year. No person shall serve in the same elected office for more than two (2) consecutive terms.
    C. The President shall appoint a Nominating Committee consisting of a chairman and two members who shall submit a slate of officers to all members thirty (30) days prior to the election.
    D. The Past President shall remain on the Board as an advisor with no voting privileges.
  • Article VI- Duties of Officers
  • A. The President shall:
  • 1. Preside at all meetings of the organization and meetings of the Executive Board;
    2. Be the chief administrative officer of the organization;
    3. Appoint all necessary committee chairmen and serve as ex-officio member on all committees, standing and special;
    4. Be authorized to co-sign checks of the organization;
    5. Be the spokesperson of the Guild.
  • B. The Vice President shall:
  • 1. Perform the duties of the President in her absence;
    2. Obtain a monthly meeting place adequate to accommodate the membership of the Guild and guests.
  • C. The Secretary shall:
  • 1. Record the minutes at all meetings;
    2. Handle all correspondence;
    3. Publicize events in the appropriate places (i.e., newspapers, magazines, etc.)
  • D. The Treasurer shall:
  • 1. Collect and disburse all funds of the organization;
    2. Present a financial report at each meeting of the executive board and membership;
    3. Be authorized to sign checks of the organization;
    4. Prepare an annual statement at the end of each fiscal year (July) for review by an outside CPA.
  • Article VII - Special Offices
  • In addition to the elected officers, there shall be positions filled by volunteers from the general membership. They are not elected, but do serve on the Executive Board. If more than one person volunteers, an election will be held at the time of the regular election of officers. A volunteer who wished to serve more than two years must be voted on by the membership
  • A. The Communications Chair shall:
  • 1. Be in charge of content, design, publishing and distribution of the monthly newsletter.
    2. Maintain the Guild website
  • B. The Program Chairman shall:
  • 1. Plan the programs for the monthly meetings;
    2. Plan special events (trips, workshops, etc.)
    3. Organize and schedule workshops.
    4. Work with a committee of volunteers from the general membership.
  • C. The Membership Chairman shall:
  • 1. Keep monthly attendance records;
    2. Make and distribute name badges and membership rosters;
    3. Provide each member with a list of membership at the November meeting.
  • D. The Member-At-Large shall:
  • 1. Attend board meetings and work on special projects that come up during the year.
  • E. The Librarian shall:
  • 1. Maintain the guild library of books and videos;
    2. Invest each year from the Guild treasury in new books and videos.
  • F. The Historian shall:
  • 1. Assemble and organize guild memorabilia.
  • Article VIII -Amendment of By-Laws
  • These by-laws may be amended at any regular meeting of the organization by a 2/3 vote of the active membership present, provided the amendment has been submitted in writing at the previous regular meeting.
  • Article IX - Dissolution of the Organization
  • Should the organization be dissolved, any funds remaining in the treasury and the library shall be distributed to a non-profit organization(s) to be named and approved by a vote of the general membership.
